Job Description The US Wealth Compliance Manager manages assigned compliance functions for the Company and supports the development, implementation, and maintenance of a regulatory compliance program through compliance activities across various lines of business, banking offices, and operating departments. Interacts with senior management in assigned areas, developing, revising, and implementing policies and procedures to ensure compliance with applicable laws and regulations. Employs various software applications and desktop tools to consolidate reported data and analyze information to detect potential compliance issues and concerns. Manages assigned specialists (as applicable) by coordinating activities and providing coaching and counseling as needed.
Supports the Chief Compliance Officer (CCO) in ensuring the Bank's compliance with all applicable federal rules and regulations.
Executes the US Wealth Compliance program on behalf of the CCO pursuant to the regulatory requirements of TDAM USA, a US SEC registered '40 Act Investment Adviser. Position is located in Toronto, Ontario, Canada. Periodic travel required between the US and Toronto.
Manages the review of TDAM USA advertising and marketing material pursuant to regulatory and internal requirements.
Provides on-site advice to TDAM USA business managers on compliance and regulatory matters and works in partnership on new projects implemented by the line of business.
Advises on independent targeted compliance reviews that measure adherence to federal and state law regulatory requirements impacting business lines to ensure compliance with internal and external policies and procedures.
Conducts an annual review of TDAM USA's compliance program in accordance with, and as required by, Rule 206(4)-7 under the Investment Advisers Act of 1940 (the "Compliance Rule").
Reviews and maintains Compliance Policies, Procedures, and Documents relevant to TDAM USA.
Administer the ongoing review of TDAM USA's Form ADV
Oversee the completion of all of TDAM USA's Investment Adviser Registration Depository ("IARD") filings with the appropriate state and federal regulators
Assists in executing US Wealth's Regulatory Change Management Program and updating the ACM tool.
Identifies and analyzes compliance issues to determine root causes.
Conducts regulatory research that may involve internal or outside counsel or third party assistance.
Stays current on regulatory changes, and changes to ACM mandates and internal policies and procedures to understand impact and ensure compliance review procedures are updated as appropriate.
Works closely with management of other areas within Compliance Risk Management as well as routinely interacts and maintains highly effective partnerships with line of business management and staff.
Prepares reports of findings and presents to senior compliance and business line management, as well as heads of compliance units as applicable.
Provides assistance, support and management of other compliance projects as assigned.
Oversees the planning, creation and maintenance of Corporate compliance database(s) to collect, manage and report information required by management.
May lead a team of specialists.
May manage the resolution of compliance-related problems encountered by various areas of the Company as related to the most critical laws and regulations.
Qualifications PLEASE NOTE: Candidates must be wiling to permanently relocate to Toronto, Canada.
Bachelor's degree or progressive work experience in addition to experience below
5-7 years of experience - preferred compliance with US SEC Registered Investment Advisers
Broad working knowledge of laws and regulations - related to the US Investment Advisers Act of 1940 preferred
Demonstrated ability to develop project plans and independently coordinate and complete projects
Strong written and verbal communication skills including a demonstrated ability to clearly provide written reports that accurately and clearly summarize issues and present solutions in an understandable and logical manner
Ability to influence others' actions and decisions without express authority
Ability to analyze complex laws and regulations
Proficiency in Microsoft Office other utility applications (e.g., Adobe Acrobat)
Proficiency in Microsoft Excel and Access
FINRA Series 7 and Series 65 (66) preferred
FINRA Series 4, Series 53, Series 24 a plus
